1st Surgi Concept, a private limited liability company (SARL) with a share capital of €40,000, registered with the Trade and Companies Register of Lille-Métropole under number 498 010 925,
whose registered office is located at 96 rue du Pont Rompu, 59200 Tourcoing, France, represented by Dominique Malard, hereinafter referred to as the “Seller”, operates the website
www.springthread.com.

  1. Purpose
    These Terms and Conditions of Sale define the rights and obligations of the parties in the context of the online sale of Class IIb implantable medical devices, in particular the Spring Thread® permanent suspension threads, offered by the Seller to healthcare professionals.
  2. Scope
    These Terms apply exclusively to sales concluded through the website www.springthread.com with healthcare professional clients (doctors, surgeons, duly authorised healthcare facilities).
    Any order implies the Buyer’s full and unconditional acceptance of these Terms.
  3. Products
    The implantable medical devices offered for sale comply with the applicable European regulations (Regulation (EU) 2017/745, known as the “MDR”).
    Information relating to the products (characteristics, indications, instructions for use) is available on the website and provided to the Buyer for information purposes only. It is the Buyer’s responsibility, as a healthcare professional, to verify the suitability of the products for his or her practice and patients.
  4. Orders
    1. Orders can only be placed online via the website.
    2. The Seller reserves the right to refuse any order that does not originate from an authorised healthcare professional or in the event of a prior dispute with the Buyer.
    3. An order is considered firm and final only after confirmation by e-mail and validation of payment.
  5. Prices
    The prices indicated on the website are expressed in euros, excluding VAT.
    Shipping costs, customs duties or any other applicable taxes are borne by the Buyer.
    The Seller reserves the right to change its prices at any time, while guaranteeing the Buyer the application of the rate in effect on the day of the order.
  6. Payment
    Orders must be paid by credit card, under the terms specified at the time of the order.
    In the event of late payment, penalties equal to 10% of the total invoice amount per month of delay will be due, together with a fixed recovery fee of €40, in accordance with Article L441-10 of the French Commercial Code.
  7. Delivery
    1. Products are shipped to the address provided by the Buyer within 1 to 5 working days after order confirmation.
    2. Delivery times are provided for information purposes only. A potential delay does not entitle the Buyer to cancel the order or claim compensation.
    3. The risks associated with transport are transferred to the Buyer upon handover of the products to the carrier.
  8. Receipt and Claims
    The Buyer must check the conformity and integrity of the products upon receipt.
    Any claim relating to an apparent defect or non-conformity must be notified in writing to the Seller within 15 days of receipt. After this period, the products shall be deemed compliant.
    9. Returns
    Given the nature of the products (implantable medical devices), no return or exchange will be accepted, except in the event of a defect duly acknowledged and validated by the Seller.
    In case of defect, the Seller may, at its discretion, either replace the product or issue a refund.
    10. Liability
    The Seller guarantees the compliance of the products with applicable regulations.
    The Seller shall not be held liable in the event of misuse, use not in accordance with the intended purpose, or use by an unauthorised professional.
    11. Intellectual Property
    All elements of the website (texts, images, logos, trademarks, instructions) are protected by intellectual property rights and remain the exclusive property of the Seller.
    Any total or partial reproduction without prior authorisation is strictly prohibited.
    12. Personal Data
    Data collected when placing an order are necessary for processing the order and may be used for commercial management purposes.
    In accordance with Regulation (EU) 2016/679 (GDPR), the Buyer has the right to access, rectify and delete his or her personal data by writing to contact@springthread.com.
    13. Governing Law and Jurisdiction
    These Terms are governed by French law.
    Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the Commercial Court of Lille-Metropole, even in the event of multiple defendants.
